Coursework Assignment 1:
a) Write an essay on key theories that are widely discussed in the academic literature on corporate governance. Critically analyse the strengths and weaknesses of each theory. In your essay, you are expected to compare and contrast these theories and state which theory, in your opinion, best explains the governance mechanisms of listed companies in the UK. Your essay should be about 1,500 words excluding bibliography.
In your essay, you are expected to refer to the articles you have been recommended on the reading list. You are also expected to present an up-to-date review of the literature by referring to a recent number of studies. (12 marks)
b) Choose a company listed on the London Stock Exchange. Download its Annual Report. Using the annual report of your chosen company, review its governance structure and answer the following two questions: Describe the governance structure of your company and evaluate the extent to which there is compliance with the recommendations set out in the Turnbull Report.
Do you take the view that the board of directors of your chosen company has fulfilled its regulatory obligations? (6 marks)

a) Critically examine the existing theories and concepts that are commonly used in the academic literature when discussing social and environmental reporting. 14 marks)
b) Using the sustainability/social report of the company you chose for coursework 1: i. Considering different engagement techniques and strategies that your company is employing, critically evaluate the usefulness of these techniques and strategies in discharging your company’s social and environmental accountability to society. (6 marks) ii. Discuss how your company has verified its sustainability/social reports. Critically examine the assurances, if any, the company has provided as a form of verification.
Include the assurance statement that has been provided by your company in the appendix section of your coursework. (6 marks)
c) “Corporate social reporting and stakeholder accountability: Is there a missing link? ” (Cooper and Owen, AOS, 2007) Critically evaluate the above statement. (14 marks) (Total marks 40)
